F2 Training System Authorized Creator License

1. Introduction

This F2 Training System Authorized Creator License Agreement (the “Agreement”) establishes the terms and conditions under which the Retail Developer (hereinafter referred to as “Retailer” or “you”) is authorized to develop and resell specific F2 Training System products, particularly those that require a monthly membership of $549.99. By signing this Agreement, you agree to adhere to the guidelines, terms, and conditions outlined below, to ensure alignment with F2’s brand standards and customer experience.

2. Eligibility & Application

To qualify as an Authorized Creator:

• Creator must be a registered business in good standing.
• Creator must demonstrate a commitment to quality customer service, ethical business practices, and ongoing customer education.
• Creator agrees to pay the designated monthly membership fee of $549.99 in advance.

3. License to Create and Retail F2 Products

Upon approval, F2 Training System grants the Retailer a non-exclusive, revocable, limited license to market, sell, and promote specific F2 Training System products. Retailer agrees to:

• Promote and sell only the designated products as outlined by F2.
• Uphold all brand, product, and customer support standards as defined by F2.
• Not alter or rebrand the products in any way.

4. Membership Fee and Payment Terms

• Retailer agrees to pay a monthly membership fee of $549.99, due on the first day of each month.
• Payment must be made via the accepted payment methods as designated by F2 Training System.
• Late or missed payments may result in suspension or revocation of authorized retailer status and access to F2 products.

5. Pricing and Promotions

• Retailer must follow the minimum advertised price (MAP) guidelines provided by F2 Training System.
• All promotional activities related to F2 products must be pre-approved by F2 Training System and align with F2’s brand guidelines.

6. Intellectual Property Rights

• Retailer is granted a limited, non-exclusive license to use F2 trademarks, logos, and promotional materials solely for the purpose of marketing and selling F2 products.
• Retailer must not use F2’s intellectual property in a way that damages F2’s brand or reputation.

7. Customer Support and After-Sales Service

• Retailer agrees to provide ongoing customer support, ensuring that customers have access to product information, proper usage instructions, and general support.
• Retailer is required to honor F2’s warranty and return policies, as provided in the product documentation.

8. Termination of Agreement

F2 Training System reserves the right to terminate this Agreement for any of the following:

• Failure to make monthly membership payments.
• Non-compliance with F2’s brand standards, MAP policies, or customer service requirements.
• Any activity that violates F2’s intellectual property rights or harms F2’s reputation.
• Termination will result in immediate cessation of rights to market, sell, or promote F2 products.

9. Limitation of Liability

F2 Training System is not liable for any claims, damages, losses, or expenses incurred by the Retailer due to sales activities, product handling, or customer disputes. Retailer agrees to indemnify and hold F2 harmless from any third-party claims arising from the Retailer’s actions.

10. Miscellaneous

• Governing Law: This Agreement shall be governed by the laws of [Your Jurisdiction].
• Amendments: F2 reserves the right to update this Agreement as needed and will provide notice of changes.
• Assignment: Retailer may not assign this Agreement to any third party without written consent from F2 Training System.
